Navigating an evolving business and risk environment: Trends in bank board composition and structure

Bank board trends analysis of composition and structure among Russell 3000 Banks from 2020 to 2022

The rapidly changing business and risk environment is testing the oversight and governance processes of all boards, and bank boards are no exception.

To understand how bank boards are navigating the current landscape, the KPMG Board Leadership Center (BLC) and the KPMG Banking & Capital Markets practice analyzed trends among Russell 3000 bank boards from 2020 to 2022, including board size, committees, leadership structure, director age, tenure, and gender diversity, including trends over time and by asset size.

Among the key findings :

Bank boards are generally larger than the average Russell 3000 board and have been increasing in size.

Bank boards have more committees and a greater prevalence of certain committee types compared to Russell 3000 boards.

The combined chair/CEO leadership structure is declining in prevalence but is more likely to be present at larger banks.

Bank directors are older, and have longer tenures, when compared to all Russell 3000 directors.

The percentage of female bank directors is increasing but remains slightly behind that of Russell 3000 boards.

It is uncommon to see women in board leadership positions at banks, but the tide may be turning.

Directors recently elected to bank boards bring greater demographic diversity.
